Terms of Use

1. Agreement to Terms

These Terms of Use ("Terms") constitute a legally binding agreement between you and MYTREDA TECHNOLOGIES LTD, operating as MyTreda ("Company", "we", "our", or "us"), governing your access to and use of the MyTreda inventory management platform, including our website, mobile applications, and related services (collectively, the "Service").

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

These Terms are governed by the laws of the Federal Republic of Nigeria, including but not limited to the Cybercrimes (Prohibition, Prevention, etc.) Act 2015, the Nigeria Data Protection Act 2023, and applicable commercial laws.

2. Eligibility

To use MyTreda, you must:

• Be at least 18 years of age
• Be a resident of Nigeria or have a registered business operating in Nigeria
• Have the legal capacity to enter into binding contracts
• Not be prohibited from using the Service under any applicable law
• Provide accurate and complete registration information

3. Account Registration and Security

3.1 Account Creation

To access the Service, you must create an account by providing accurate, current, and complete information including your name, email address, phone number, and business details.

3.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your login credentials
• All activities that occur under your account
• Immediately notifying us of any unauthorized access or security breach
• Ensuring that your account information remains accurate and up-to-date

3.3 Business Accounts

Each business account may have one administrator (owner) and multiple sales representatives. The administrator is responsible for managing user access and ensuring all users comply with these Terms.

4. Use of the Service

4.1 Permitted Use

MyTreda is provided for:

• Managing business inventory and stock levels
• Recording and tracking sales transactions
• Managing customer information and debts
• Generating business reports and analytics
• Receiving WhatsApp notifications for business updates

4.2 Prohibited Use

You agree NOT to:

• Use the Service for any illegal or unauthorized purpose
• Violate any Nigerian law or regulation, including tax and business registration laws
• Upload false, misleading, or fraudulent business information
• Attempt to gain unauthorized access to other users' accounts or data
• Interfere with or disrupt the Service or servers
• Use automated systems (bots, scrapers) to access the Service without permission
• Reverse engineer, decompile, or attempt to extract the source code
• Use the Service to send spam or unsolicited messages
• Impersonate another person or business
• Upload malware, viruses, or other malicious code

5. WhatsApp Notifications

By enabling WhatsApp notifications and providing your WhatsApp number, you:

• Consent to receive business-related messages via WhatsApp
• Acknowledge that messages are sent through Meta's WhatsApp Business API
• Agree to comply with WhatsApp's Terms of Service and Business Policy
• Understand you can disable notifications at any time in your settings

Message types include daily sales reports, debt reminders, low stock alerts, and other business notifications you have enabled.

6. Your Data and Content

6.1 Ownership

You retain ownership of all business data, inventory records, sales information, and other content you input into the Service ("Your Content"). We do not claim ownership of Your Content.

6.2 License to Us

By using the Service, you grant us a limited license to store, process, and display Your Content solely for the purpose of providing and improving the Service. This license terminates when you delete Your Content or close your account.

6.3 Data Accuracy

You are responsible for ensuring the accuracy of all data you input. MyTreda is not responsible for business decisions made based on inaccurate data you have entered.

6.4 Data Export

You may export your data at any time through the Service. Upon account termination, you will have 30 days to export your data before it is deleted.

7. Subscription and Payment

7.1 Pricing

MyTreda offers paid subscription plans. During the early access period, access may be provided at no charge until billing begins. Pricing is displayed in Nigerian Naira (NGN) and is subject to change with 30 days' notice.

7.2 Payment Terms

Paid subscriptions are billed in advance on a monthly or annual basis. All payments are non-refundable except where required by Nigerian consumer protection laws.

7.3 Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial periods.

8. Intellectual Property

The Service, including its design, features, code, and content (excluding Your Content), is owned by MyTreda and protected by Nigerian and international intellectual property laws.

"MyTreda" and our logo are trademarks of MyTreda. You may not use our trademarks without prior written permission.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• The Service will be uninterrupted, timely, secure, or error-free
• The results obtained from the Service will be accurate or reliable
• Any errors in the Service will be corrected

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY NIGERIAN LAW, MYTREDA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, or business
• Loss of data or data breach (except where caused by our gross negligence)
• Business interruption
• Any other commercial damages or losses

Our total liability for any claim arising from these Terms or the Service shall not exceed the amount you paid us in the 12 months preceding the claim, or NGN 50,000, whichever is greater.

11. Indemnification

You agree to indemnify, defend, and hold harmless MyTreda, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Your Content or business activities

12. Termination

12.1 By You

You may terminate your account at any time by contacting support or using the account deletion feature in your settings.

12.2 By Us

We may suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or for any other reason with 30 days' notice (or immediately for serious violations).

12.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination (including Limitation of Liability, Indemnification, and Governing Law) will survive.

13. Governing Law and Disputes

13.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to conflict of law principles.

13.2 Dispute Resolution

Any dispute arising from these Terms shall first be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to arbitration under the Arbitration and Conciliation Act (Cap A18, LFN 2004), with arbitration taking place in Lagos, Nigeria.

13.3 Jurisdiction

For matters not subject to arbitration, the courts of Lagos State, Nigeria shall have exclusive jurisdiction.

14. Changes to Terms

We may modify these Terms at any time. Material changes will be notified via email or through the Service at least 30 days before taking effect. Your continued use of the Service after changes take effect constitutes acceptance of the modified Terms.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and MyTreda regarding the Service.

15.2 Severability

If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect.

15.3 No Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

15.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
